This User Agreement (“Agreement”) is a binding contract between you and TNT Holley, Inc. (“RapWarz”, “we”, “us”) governing your access to and use of the RapWarz mobile application and related services (the “Service”). By accessing, downloading, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy. If you do not agree, do not access or use the Service.
1. Acceptance
Accessing or using the Service constitutes your acceptance of this Agreement. If you use the Service on behalf of another person or entity, you represent that you are authorized to bind them.
We may update this Agreement from time to time. Material changes will be made available in the Service; your continued use after a change takes effect means you accept the updated Agreement.
2. Eligibility & Accounts
You must be at least 13 years old (and meet the minimum digital-consent age in your country) to use the Service. If you are under 18, you may use the Service only with the involvement of a parent or guardian. The Service features user-generated music and battles that may contain explicit language and is intended for mature audiences.
You agree to provide accurate account information, to keep your credentials secure, and to be responsible for all activity under your account. One account per person. Accounts are personal to you and may not be sold, shared, or transferred.
Accounts are either “Artist” (creators who upload music, battle, and may receive Tips and payouts) or “Aficionado” (listeners and fans). Becoming an Artist may require additional verification.
3. The Service & User Content
Artists may upload, perform, and share audio, video, images, and other content (“User Content”). Artists are solely responsible for their User Content and represent that they own it or have all rights necessary to share it on the Service.
You retain ownership of your User Content. You grant RapWarz a worldwide, non-exclusive, royalty-free license to host, store, reproduce, stream, display, and promote your User Content for the purpose of operating, improving, and marketing the Service. This license ends when you remove your User Content, except for copies retained for backups, legal compliance, or where it has been shared with others who have not removed it.
Objectionable content and community conduct. RapWarz has zero tolerance for objectionable content and abusive behavior — including content or conduct that is harassing, hateful, threatening, sexually exploitative, or otherwise illegal — in any User Content, live battle, cypher, replay, handle, avatar, or communication. Every user can REPORT objectionable content and BLOCK other users directly in the app; blocking a user prevents further interaction with them. We review reports and act within 24 hours, removing offending content and/or ejecting (suspending or permanently banning) the users responsible. You can also report abuse to us at [email protected]. We may, at our discretion, review, moderate, remove content, and suspend or terminate accounts that violate this Agreement or the law, with or without notice.
4. Money & Payments
RapWarz is supported by two content models, plus a separate, voluntary way for fans to support artists:
(a) Free, ad-supported access. Most of the Service is free and supported by advertising.
(b) Premium subscription. An optional subscription removes ads and unlocks premium features. Subscriptions are purchased and billed through the Apple App Store or Google Play, are managed in your store account, and are also governed by that store’s terms. Subscriptions renew automatically until canceled in the store.
Access to content on the Service is provided through these ad-supported and subscription models. You never need to give a Tip to view content.
(c) Streetcoin. “Streetcoin” is a virtual, in-app credit with no monetary value. It is not money, is not redeemable for cash, and is non-transferable. We may grant, adjust, expire, or discontinue Streetcoin at our discretion. Streetcoin earned by watching rewarded ads is granted only after our servers verify a genuine, completed ad view.
5. Tips Are Donations — Not Payment for Content
A “Tip” is a voluntary donation made by a viewer or fan directly to an artist to show appreciation and support that artist. A Tip is a gift. It is NOT a purchase of, or payment for, any content, goods, service, subscription, feature, or other benefit, and it does not entitle the giver to anything in return. No content is gated behind Tips; content is supported only by the ad-supported and subscription models described above, which flow through the Apple App Store and Google Play.
Because a Tip is a gift to another person and not a purchase of digital content from RapWarz, Tips are processed by our third-party payment processor (Stripe) and paid to the artist, rather than through the App Store or Google Play in-app purchase systems.
RapWarz takes no commission or cut of Tips. One hundred percent (100%) of a Tip goes to the recipient artist, less only the payment processor’s own transaction fees. Tips are final, non-refundable, and not exchangeable for Streetcoin, subscriptions, or anything else. You are responsible for ensuring you intend each Tip before sending it.
6. Artist Payouts
To receive Tips or other payouts, an Artist must complete payout onboarding with our payment processor (Stripe), which collects and verifies the Artist’s identity, banking, and tax information on Stripe’s systems. RapWarz does not collect or store your full financial details. Payouts are subject to Stripe’s Connected Account Agreement.
Artists are independent of RapWarz and are solely responsible for any taxes owed on funds they receive. RapWarz is not the Artist’s employer, partner, or agent.
7. Prohibited Conduct
You agree not to: use bots, scripts, emulators, or other automation to access the Service or to earn Streetcoin, votes, ratings, followers, or rewards; create or operate multiple or fake accounts; manipulate battle votes, song ratings, view counts, or rankings; defraud the rewarded-ad or payment systems; upload content you do not have the rights to; harass, threaten, or harm others; post unlawful, infringing, or hateful content; or interfere with the security or operation of the Service.
We use technical measures to detect and prevent abuse, and we may suspend or terminate accounts, reverse fraudulently obtained rewards, and withhold payouts associated with prohibited conduct.
8. Intellectual Property
The RapWarz name, logo, app, and all related software and design are owned by TNT Holley, Inc. and protected by law. Except for your own User Content, nothing in this Agreement grants you any right in our intellectual property.
9. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
10. Limitation of Liability
To the fullest extent permitted by law, RapWarz and TNT Holley, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim will not exceed the greater of the amount you paid us in the twelve months before the claim or USD $100.
11. Indemnification
You agree to indemnify and hold harmless RapWarz and TNT Holley, Inc. from any claims, damages, or expenses arising out of your User Content, your use of the Service, or your violation of this Agreement or the law.
12. Governing Law
This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to other agreement.
